1. This site is operated by Invertical Technologies LTD (the “INVERTICAL TECHNOLOGIES LTD ”) having its Headquarters at Hod Hasharon , Israel .

2. Please read these terms and conditions (“Terms and Conditions ”), as they apply to your use of the https://www.invertical.io website (collectively the “Sites“, each a “Site”). If you do not agree to these Terms and Conditions, you must leave the Sites.

3. By using either Site, you (“You “) agree to be bound by these Terms and Conditions. The INVERTICAL TECHNOLOGIES LTD may change these Terms and Conditions from time to time. By continuing to access the Sites following any such change, You accept and agree to be bound by all changes.

Under no circumstances shall INVERTICAL TECHNOLOGIES LTD be liable to You for any loss or damage suffered (both direct and indirect losses) arising from your use of the Sites.

6. Restrictions and terminations

6.1. Where a login and password is required, You acknowledge and agree that the INVERTICAL TECHNOLOGIES LTD may, in its sole discretion, deactivate your login name and password and in doing so, prevent your access to the Sites if You breach these Terms and Conditions.

7. Your obligations

7.1. While using the Sites, You may not:

a. post or transmit any unlawful, fraudulent, libelous, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, offensive, derogatory or otherwise objectionable information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offence, give rise to civil liability, violate any applicable law or regulation, or damage the goodwill and reputation of the INVERTICAL TECHNOLOGIES LTD;

b. post or transmit any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or commercial schemes of any kind or other unsolicited commercial communication;

c. post or transmit any software or material which contains any “virus”, “trojan horse”, “worm”, “data bomb”, “logic bomb” or any other similar component;

d. copy, modify, license, create derivative works from, transfer, post, publish, republish, transmit, retransmit, reproduce, distribute or in any way exploit or use:

(i) Materials obtained through the Sites for commercial purposes; or

(ii) Materials, or any derivative work of such Materials, obtained through the Sites which are subject to the copyright or any other intellectual property rights of a third party. If you wish to copy, modify, license, transfer, post, publish, republish, transmit, retransmit, reproduce, distribute or in any way exploit or use such Materials, or any derivative work of such Materials, you must first obtain the necessary permission of the owner.

7.2. Where required, You agree to keep your login name and password of your registered account confidential and will not allow other third parties to access the Sites using your account details.

7.3. You agree not to affect, restrict, limit or inhibit any other person from using the Sites.

7.4. You agree to defend, indemnify and hold the INVERTICAL TECHNOLOGIES LTD harmless from any and all claims, actions, proceedings, losses, damages, liabilities, costs and expenses, including reasonable legal fees, arising in any way from your use of the Sites or any violation of these Terms and Conditions by You or, where applicable, by any users of your registered account.

8. Forums

8.1. By way of example, and not as a limitation, You agree that when using a Forum, You shall not do any of the following:

e. delete any author attributions, legal notices or proprietary designations or labels in any Materials that are uploaded;

f. falsify the origin or source of software or of the Materials contained in a file that is uploaded;

g. advertise or offer to sell any goods or services, or conduct or forward surveys, contests, or chain letters;

h. download any file posted by another user of the Forum that You know, or reasonably should know, cannot be legally distributed in such manner.

8.2. You acknowledge that all Forums are public and not private communications. Further, You acknowledge that chats, postings, conferences, e-mails and other communications by other users are not endorsed by the INVERTICAL TECHNOLOGIES LTD, and that such communications are not subject to review, screening, or approval by the INVERTICAL TECHNOLOGIES LTD.

8.3. You accept that the INVERTICAL TECHNOLOGIES LTD is under no obligation to monitor the use of bulletin boards, chat rooms or other like facilities and that the use of such facilities by users is subject to such directions or instructions as may be issued by the INVERTICAL TECHNOLOGIES LTD at any given time and at the INVERTICAL TECHNOLOGIES LTD’s sole discretion.

8.4. The INVERTICAL TECHNOLOGIES LTD reserves the right for any reason and at its sole discretion to edit or remove without notice any contents of the Forums received from users, including without limitation e-mail and bulletin board postings.

9. Intellectual property rights

10.1. All copyright and other intellectual property rights of Materials on the Sites apart from Your Submissions belong to or are licensed to the INVERTICAL TECHNOLOGIES LTD. Unless informed otherwise by You, the INVERTICAL TECHNOLOGIES LTD will assume that you own Your Submissions. In submitting Your Submissions to the website https://www.invertical.io You grant the INVERTICAL TECHNOLOGIES LTD a royalty free, non-exclusive license to use, copy and modify Your Submissions to the extent required to process your job application.

11. General

11.1. Nothing in these Terms and Conditions shall be construed as a waiver, renunciation or modification by the INVERTICAL TECHNOLOGIES LTD of any immunities, privileges and exemptions of the INVERTICAL TECHNOLOGIES LTD accorded under the Agreement Establishing the European Bank for Reconstruction and Development, international convention or any applicable law.

11.2. The failure of the INVERTICAL TECHNOLOGIES LTD to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of the Terms and Conditions is found by a court of competent jurisdiction to be invalid or unenforceable, the other provisions of these Terms and Conditions shall be unaffected and remain in full force and effect.

11.3. Unless you have an express contractual relationship with the INVERTICAL TECHNOLOGIES LTD, these Terms and Conditions constitute the entire agreement between the INVERTICAL TECHNOLOGIES LTD and You in respect of the Sites and Your Submissions.
